Terms of Service
1. What PoliteDue is
PoliteDue is payment reminder software for freelancers and small businesses. Customers use PoliteDue to send polite reminders — by text message and email — about invoices they have already issued to their own clients.
PoliteDue is a tool, not a party to your business. The debt exists between you and your client. PoliteDue does not collect debts for third parties, does not buy or sell debts, and does not act as a collection agency. Every message sent through PoliteDue is sent by you, identifies you as the sender, and concerns an invoice you issued.
2. The early-access list
Joining the PoliteDue early-access list adds your email address to a notification list. It creates no purchase, no subscription, and no obligation on either side. PoliteDue is still in development.
What you can expect from us while you're on the list:
- One email when PoliteDue is ready for you, plus occasional product updates;
- No selling or renting of your address, ever;
- One-click removal on request — see the Privacy Policy.
What we expect from you: one signup per person, and no probing, overloading, or scraping of the signup endpoint.
3. The $9/month founding price
We intend to offer early-access users a locked founding price of $9/month (regular price $18/month at public launch). This is a stated intention, not a binding offer. The final price and terms will be presented clearly before any charge is made, and you will be able to decline without losing access to anything you have already paid for.
4. Accounts and eligibility
PoliteDue is intended for use in the course of a business — freelancers, independent contractors, studios, and small businesses. You must be at least 18 years old and able to enter into a binding contract. You are responsible for the accuracy of the information on your account and for keeping your credentials secure. Notify us promptly if you believe your account has been compromised.
5. Acceptable use — and five hard limits
PoliteDue exists to help people who are owed money ask for it politely. To keep the service lawful and welcome in the messaging ecosystem, these limits are absolute. Violating them is grounds for immediate termination without refund:
- No third-party collection. PoliteDue is not for collecting debts owed to someone else. You may only message your own clients about your own invoices.
- No commission or contingency fees. PoliteDue charges a flat subscription. We do not take a percentage of what you recover, and the product is not built to support that model.
- No threatening or abusive content. No threats of legal action you don't intend to take, no harassment, no shaming, no repeated messaging after a request to stop.
- No cold texting. Every recipient must have an existing business relationship with you and must have consented to receive messages at that number. Purchased or scraped lists are prohibited.
- No hiding who you are. Messages must identify you as the sender. Impersonation of a person, company, or authority is prohibited.
You also agree not to use PoliteDue to send unlawful content, to interfere with the service or other customers, to reverse engineer the platform, or to resell access without our written permission.
6. Your responsibilities as the sender
Because you send the messages, you own the compliance obligations that come with them. Specifically, you represent and warrant that:
- each recipient is an existing client or customer of yours;
- you obtained the recipient's mobile number directly from them in the course of that relationship;
- you have the recipient's consent to receive payment-related text messages at that number, and you can produce evidence of that consent on request;
- you will honor opt-out requests immediately and will not re-add a number that has opted out;
- your use of PoliteDue complies with the TCPA, applicable state messaging laws, and your carrier's messaging policies.
PoliteDue records each certification, its timestamp, and the opt-in source you declare. That record exists to protect you — it is your evidence of consent if a recipient ever disputes a message.
7. Text messaging
Text messages sent through PoliteDue are governed by our SMS Program Terms, which describe message types, frequency, cost, opt-in, and how recipients can stop messages with STOP or get help with HELP. Those terms form part of this agreement.
8. Billing, cancellation, and refunds
Paid plans are billed in advance on a recurring monthly basis through our payment processor. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period and your access continues until then. We do not provide pro-rated refunds for partial months, except where required by law. If a payment fails, we may suspend messaging until it is resolved. Price changes will be announced at least 30 days in advance, and your founding price is not affected by later increases.
9. Our commitments to you
We will handle your data as described in the Privacy Policy, keep your message history available to you, give you tools to export it, and tell you in advance if we make a material change to how the service works. If we discontinue the service, we will give you reasonable notice and a way to export your data.
10. No warranty
This site, any pre-launch materials, and the PoliteDue software are provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Launch timing, features, and pricing may change. Statistics shown on our pages (late-payment rates, average amounts owed, statutory penalties) are cited from public research and provided for information only — they are not legal, financial, or tax advice.
PoliteDue does not guarantee that any particular client will pay, that a message will be delivered, or that your use of the service will produce any specific outcome.
11. Limitation of liability
To the maximum extent permitted by law, PoliteDue is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data. Our total liability for any claim arising out of or relating to this agreement is limited to the amount you paid us in the twelve months before the claim. Some jurisdictions do not allow these limitations, in which case they apply to the fullest extent permitted.
12. Termination
You can stop using PoliteDue at any time. We may suspend or terminate access if you violate these terms — particularly the five limits in section 5 — if required by law or a carrier, or if your account poses a risk to the deliverability of the service for other customers. Where practical, we will tell you why and give you a chance to fix the issue first. On termination you may export your data for 30 days.
13. Changes to these terms
If we make a material change, we will update this page, revise the date above, and notify account holders by email before the change takes effect. Continuing to use PoliteDue after a change means you accept the updated terms.
14. Governing law
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be handled in the state or federal courts located in California, and both parties consent to their jurisdiction. If any provision is found unenforceable, the rest stays in effect.
